乙方：
鉴于甲方拥有良好的基金投资运作能力和强劲的市场开拓能力，乙方拥有XXX建设项目和成熟的项目管理经验。根据《中华人民共和国合同法》等相关法律的规定，甲、乙双方经友好协商，本着“平等互利、协商一致、合作共赢、共同发展”的原则，就甲、乙双方合作投资开发湖南鹿饮泉生态度假二期、三期发展项目事宜达成如下框架协议：
一、甲方对乙方现拥有的位于XXX的XXX项目的投资收益前景非常看好，愿意以基金投资方式，与乙方合作，共同开发XXX二期、三期项目；甲方按照双方同意之规划对二期项目进行投资。二期投资完成后，双方根据三期项目开发情况另行商议投资规模；
二、乙方认可甲方的投资方式和投资能力，愿意按照甲方的指导和要求完成XXX发展项目的规划和财务资料整理，提高项目投资可行性和预期收益，乙方的项目规划和财务资料的整理需符合甲方的要求，方可达成正式的《投资合作协议》。

Party B:
Whereas, Party A owns recognized abilities in fund investment and market development and Party B owns the construction project of XXX (“Resort”) and reliable experience in project management. In accordance with the Contract Law of the People’s Republic of China, Party A and Party B have, through friendly negotiation and in the principles of equality and mutual benefit, unanimous consent, cooperative win-win and mutual growth, entered into the following framework agreement (“Agreement”) on the joint investment for developing the No.2 and No.3 stage projects of XXX:
Party A holds positive opinion to the future investment yield of XXX project (“Project”) located in XXX, and wishes to, in cooperation with Party B, invest funds in developing the No.2 and No.3 stage projects of the Resort; Party A shall invest in the No.2 stage project as agreed by both parties. After the investment in No.2 stage project is completed, both parties shall negotiate the amount of further investment based on the development situation of No.3 stage project.
Party B approves of the mode and ability to invest of Party A, agrees to compile the planning and financial information of the Project in accordance with Party A’s instruction and requirement and will heighten the feasibility and prospective earnings of the Project. The Investment Cooperation Agreement (“ICA”) shall be entered into only when Party A is satisfied with the project plan and financial information compiled by Party B.
