10.3.- The Receiving Party shall remain independent contractor. This Agreement shall not establish any partnership, joint venture or other entity for legal or tax purposes.

10.4.- Any consent, demand or other notice to be given by either Party under this Agreement shall be in writing and may be delivered by hand, registered mail or facsimile transmission addressed as follows:

i) in the case of the Receiving Party to:

or as otherwise notified in writing from time to time; or

ii) in the case of the Disclosing Party to :

or as otherwise notified in writing from time to time.

10.5.- Notices, requests, demands or other communications delivered or sent as aforesaid shall be deemed to have been received by the addressee:

a) where delivered by hand, on the date of delivery;

b) where sent by facsimile transmission, on the day following the date of delivery or transmission of a legible copy; and

c) where sent by registered mail, five (5) calendar days after the date of mailing.

10.6.- Each party represents and warrants to the other that he is a corporation duly organised and validly existing in the jurisdiction of his corporation. Each Party represents that he has full corporate power and authority to enter into this Agreement and to do all things necessary for the performance of this Agreement. The Disclosing Party represents and warrants that he has the right to provide "***” to the Receiving Party and that such disclosure is not in breach of any agreement with a third party

10.7.- If any provision of this Agreement shall be invalid and not enforceable in accordance with its terms, all other provisions shall be, and continue to be, valid and enforceable in accordance with their terms. This Agreement shall enter into force on the Effective Date.The confidentiality, non-disclosure and non-use obligations of the Receiving Party and all of its representatives and recipients under this Agreement shall remain in force and effect to the fullest extent permitted by applicable law and in any event for at least ten (10) years from the effective date of this Agreement subject to any further extensions at the discretion of the Disclosing Party. The undertaking of the Receiving Party with respect of non disclosure and confidentiality of "***” shall continue to be honoured by the Receiving party and its employees agents, contractors, consultants and other representatives even after the completion of the agreed tasks.

11.- This Agreement shall be governed by the applicable China laws and all actions at law or suits arising out of or in connection with this Agreement or subject matter of this Agreement shall be in the exclusive jurisdiction of the Courts at Shanghai only.

10.1 未有披露方的事先书面批准，接受方不得转让本协议。

10.2 本协议对协议双方及其继承人与受让人均有约束力与利益关系。

10.3 接受方应为独立签约人。本协议未产生任何合伙、合资或其他法律或税务性质的实体。

10.4 协议双方间的批准、要求或通知等均应采用书面形式，可通过专人、挂号信或传真等方式发送至以下地址：

i) 接受方：

或者另行书面通知的地址。

ii) 披露方：

或者另行书面通知的地址。

10.5 上述通知、请求、要求或信函在满足以下条件时即视为已送达收件人：

a) 如果是专人投递，送达的当天；

b) 如果是传真，发送传真后的第二天；及

c) 如果是挂号信，信件寄出后五（5）天。

10.6 各方均声明并保证其属于合法成立与运营的公司法人。各方声明，其具有签订与履行本协议所需的完全公司法人权利。披露方声明并保证，其有权向接受方提供“***”，并且披露事项未违反与任何第三方签订的协议。

10.7 如果本协议的某项条款属于无效与不可实施内容，其他条款不受影响，仍然有效。本协议自“生效日期”起生效。接受方及其代表与接收人在本协议中的保密、不泄露与不利用义务的期限为本协议生效后的十（10）年，并可能根据披露方决定延长。在协定任务完成后，接受方及其雇员、代理商、承包商、顾问与其他代表仍需履行接受方有关“***”的不泄露与保密承诺。

11.

本协议受中国法律管辖。因本协议产生的任何诉讼或纠纷仅受上海当地法院管辖。
